M&A and Securities Practices Claim Top Spot

Global law firm White & Case LLP was named top counsel in two separate rankings of first-quarter corporate deal activity.  The Firm ranked No. 1 for global buyout deal volume in Mergermarket’s League Tables of Legal Advisers to Global M&A for Q1 2008 and also took the top spot for deal value as issuer adviser in the US equity offerings and US and global IPO categories of Bloomberg’s 2008 Q1 Americas and Global Legal Adviser League Tables.     

In the Mergermarket rankings, White & Case secured the top spot by working on private equity buyouts in multiple jurisdictions, including the United States. 

“While there was a significant drop in global buyout activity in the first quarter, especially large leveraged deals in the US, the breadth and depth of our worldwide private equity practice resulted in a successful first quarter,” said John Reiss, White & Case partner and global co-head of M&A and Private Equity in New York.  “Our private equity, as well as our strategic practice, combines expertise in more than 25 different countries with unrivaled cross-border cooperation among our offices.”

In addition to its global leadership ranking in buyout deal volume, White & Case placed among the top five law firms in other categories surveyed by Mergermarket:

•    In the Americas, White & Case ranked No. 3 for M&A value in Canada and No. 4 for buyout deal volume in the United States.

•    In Asia (ex Japan & Australia), the Firm ranked No. 3 in M&A deal volume.

•    In Europe, White & Case placed No. 4 in buyout deal volume. 

White & Case’s M&A Practice comprises more than 400 lawyers, including over 100 attorneys in the United States.  Recent transactions acted on by the group include: Excel Maritime Carriers Ltd.’s acquisition of Quintana Maritime Limited, Nordea’s sale of its institutional global custody business to JPMorgan, Swedish Steel AB’s sale of IPSCO Tubulars to Evraz Group SA, EchoStar Communications Corporation’s spin-off of EchoStar Holding Corporation and Mobile Mini Inc.’s acquisition of Mobile Storage Group.  In addition to obtaining top rankings in the global league tables, the practice was also recently ranked a Global Area of Excellence for the Firm by PLC Which Lawyer? 2008 and a Tier One Global Corporate/M&A (Highly Regarded) Practice by Chambers Global.

In the Bloomberg surveys of capital markets transactions, White & Case’s first-place ranking as issuer adviser in the US equity offerings and US and global IPO categories was driven by the Firm’s work on Visa’s record $19.7 billion initial public offering.

“The Visa deal was precedent-setting due not only to its size but also its scope and complexity.  While the IPO offering and listing were made in the US and on the New York Stock Exchange, we also worked on concurrent offerings in Japan and Canada,” said Mark Mandel, White & Case partner and adviser on the Visa reorganization and IPO. 

“Taking into the account the restructuring work that preceded the IPO and that involved our M&A, Antitrust, Tax and Intellectual Property Practices, the deal spanned 20 offices in more than 170 legal jurisdictions,” said S. Ward Atterbury, White & Case partner and adviser on the Visa reorganization and IPO.

The Visa IPO represented one of two record-setting deals acted on in the first quarter by White & Case’s Securities Practice.  The Firm also represented Canada Housing Trust and Canada Mortgage and Housing Corporation in connection with the sale of $11 billion of government-backed Canada Mortgage Bonds, one of the largest sales of AAA-rated bonds by an entity other than a US government-related issuer and the largest bond issue in Canadian history.
